TiMo Mídia Terms and Conditions of Use

These Terms and Conditions of Use (“Terms”) apply to the network of digital environments commercially operated, managed, optimized or monetized by TiMo Midia Ltda.

Acceptance of the Terms

By browsing, interacting with or using the digital environments connected to TiMo Mídia, the User acknowledges these Terms and agrees to their provisions to the extent permitted by applicable law, without prejudice to rights that cannot be waived by contract. If the User does not agree with these conditions, the User must stop using the services and pages.

International Scope

These Terms are structured for international application to digital environments that reference this document, subject to mandatory rules on consumer protection, privacy, electronic communications and digital rights that cannot be waived by contract in the applicable jurisdiction of the user’s residence.

Local Addenda

When a Local Addendum applies to the user’s country, the site’s country of operation or another relevant jurisdiction, that Addendum supplements these Terms. In the event of conflict between these Terms and the Local Addendum, the Local Addendum prevails only to the extent necessary to comply with mandatory local law.

Nature of the Operation (AdTech)

TiMo Mídia operates as an advertising technology company (AdTech), providing technical infrastructure, publisher solutions, advertising inventory management, monetization, programmatic advertising operations, advertising platform integrations, fraud prevention, invalid traffic (IVT) mitigation, traffic measurement, audience quality, technical security, and systems for newsletters and email marketing.

TiMo Mídia's activities may involve, as applicable, technologies, integrations, scripts, tags, cookies, consent platforms, measurement tools, anti-fraud solutions, monetization resources, ad platforms, services related to the Google advertising stack, ad servers, SSPs, DSPs, ad exchanges, analytics tools and other technical resources necessary to operate, optimize, protect and monetize digital environments.

Operators, Publishers and Responsibility for Digital Environments

When digital environments are operated, managed, optimized, monetized, integrated or technically supported by TiMo Mídia, the company's role may be limited to the technology, advertising, anti-fraud, measurement, monetization infrastructure, inventory management, advertising integrations, newsletters, email marketing, technical security, traffic quality or related technical support layer.

Unless a contract, operational configuration or express indication states otherwise, TiMo Mídia does not assume full responsibility for domain registration, hosting, editorial content, imprint/legal notice, institutional information of the local operator, proprietary forms, editorial support, products, services, offers, commercial promises, local consumer relationships or other activities conducted directly by publishers, website operators, advertisers, commercial partners or third parties.

Each party remains responsible for the legal, regulatory, contractual and operational obligations corresponding to the activities it effectively controls, within the limits of applicable law.

Any display, integration, monetization, optimization or technical support provided by TiMo Mídia in a given digital environment does not, by itself, imply assumption of editorial, corporate, consumer, tax, labor, contractual or operational responsibility for activities, content, products, services or structures that remain under third-party control.

When necessary, roles and responsibilities between TiMo Mídia and publishers, operators, clients or partners may be governed by specific instruments, including commercial contracts, data processing addenda, processing agreements, joint-controller arrangements, operational policies, consent rules, integration terms, security rules, anti-fraud procedures and other applicable documents.

Third-Party Ads

To the extent permitted by applicable law, TiMo Mídia is not responsible for products, services, commercial promises, policies, privacy practices or security practices of third-party sites accessed through ads or external links, without prejudice to reasonable blocking, reporting or review measures when reports are received via [email protected] about clearly inappropriate, malicious or misleading ads.

Eligibility and Minors

TiMo Mídia's digital environments are not directed to children. Use by minors must observe applicable local law and, when necessary, occur with assistance and supervision from parents or legal guardians, who are responsible for monitoring interactions and applicable consents.

Privacy and Cookies

Governance over data collection and processing, consent, opt-out, use of cookies and email marketing rules is governed by our Privacy Policy, which is inseparable from these Terms. Technical preferences may be managed through the Consent Management Platform (CMP) and Consent Mode integrations, when applicable and available in the relevant environment.

Permitted Use

TiMo Mídia grants the end User a limited, revocable, non-exclusive and non-transferable license to access, view and read informational content on the pages, solely for personal, lawful and non-commercial use. Commercial, technical or operational relationships with publishers, advertisers, suppliers and business partners are governed by their own contracts, which prevail over this clause where applicable.

Prohibited Conduct

When using digital environments managed by TiMo Mídia, the User agrees not to practice, facilitate or encourage:

Unlawful use that violates privacy, consumer, intellectual property, security or spam rules;
Use of robots, bots, abusive crawlers or mass data collection;
Unauthorized scraping of text content, images, code or infrastructure;
Use or extraction of page content for training, calibration or development of Artificial Intelligence (AI) systems, language models (LLMs) or machine learning algorithms without prior express written contractual authorization;
Artificial generation of clicks, impressions or fraudulent traffic, including click farms;
Malicious manipulation of ad views, such as ad stacking, pixel stuffing or domain spoofing;
Misleading incentives to click or technical inducement to forced advertising interactions;
Distribution of malware, code injection, XSS, SQL Injection, reverse engineering or denial-of-service (DDoS) attacks against servers.

Invalid Traffic and Advertising Fraud

TiMo Mídia adopts rigorous and proportionate technical measures to identify, audit and block auction fraud and invalid traffic schemes (IVT/GIVT/SIVT). When there is reasonable evidence of abusive or fraudulent technical activity linked to a device, IP or location, TiMo Mídia reserves the right to temporarily block or limit network access and may forward evidence to authorities and partner platforms when applicable.

Rules for Email Marketing Interaction

Use of newsletter forms, bulletin registrations and email marketing made available in the environments requires compliance with the following guidelines:

The User must enter legitimate email addresses under their control;
Use of false emails, third-party emails without prior authorization, or automation of mass registrations intended to pollute databases or trigger spam-trap filters is prohibited;
Injection of malicious code into input fields is prohibited;
Unsubscribe requests will be respected; abuse, suspected robots or repeated technical misconduct may lead to blocking of corresponding emails, domains or IPs.

Intellectual Property

All content made available on digital properties managed, operated or monetized by TiMo Mídia — including texts, databases, layouts, graphic elements, trademarks, code, scripts, images and other materials — belongs to TiMo Mídia, its licensors, publishers, partners or the respective rights holders, as applicable. Reproduction, modification, distribution, commercial exploitation, reverse engineering, data mining or use for AI training without the required licenses and express authorizations is expressly prohibited.

Third Parties, Links and External Platforms

Digital properties may contain programmatic ads, scripts, integrations and links to external sites or third-party social networks. TiMo Mídia does not fully control those external environments. We recommend that the User act cautiously and review the policies of those third-party services before providing information or completing transactions.

Service Availability

TiMo Mídia provides site access according to its technical availability and current state. Operation may be affected by maintenance, updates, security fixes, cloud server instability, international connectivity issues or failures in third-party services. To the extent permitted by applicable law, continuous, stable or uninterrupted system availability is not guaranteed.

Suspension and Technical Security Measures

TiMo Mídia may, at its reasonable discretion and when necessary, restrict, suspend, limit or block access, to the extent permitted by law and without prior notice when technical or legal urgency justifies it, to protect server security, prevent operational abuse, investigate fraud anomalies (IVT), protect third parties, preserve the technical integrity of the AdTech operation or comply with valid legal requests.

Limitation of Liability

The environments are provided “as is” and “as available”. To the extent permitted by applicable law:

TiMo Mídia does not guarantee the absence of occasional technical failures, interruptions or incompatibilities on specific access devices.
TiMo Mídia, its directors and employees are not liable for actions, promises, automated decisions by international advertising platforms, or practices of products, services and content offered on external sites not belonging to the company.
Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded under mandatory laws.

Indemnification

The User agrees to defend, indemnify and hold harmless TiMo Mídia, licensors, directors and partners, to the extent permitted by applicable law, against claims, losses or financial damages arising from conduct proven to be attributable to the User and subject to proof of causation, involving unlawful use, advertising fraud, scraping, technical attacks, unauthorized use of protected content or code, including use for AI training, or violation of third-party copyright or privacy rights actively caused by the User.

Digital Accessibility

As part of its commitment to digital inclusion and good practices, TiMo Mídia makes reasonable efforts and seeks to keep interface development aligned with reasonable technical requirements when technically feasible. Cases and reports of technical barriers and suggestions for accessibility improvements may be sent to the governance team at [email protected].

Changes to the Terms

TiMo Mídia may update these Terms periodically. The current version will be made publicly available with the updated date at the top. Material changes may be communicated through a notice or appropriate mechanism on the sites. Continued browsing or platform use after changes may indicate agreement, to the extent permitted by applicable law.

Applicable Law and Forum

These Terms will be governed by the laws applicable to the responsible entity identified in this document and to the relevant operation, subject to mandatory jurisdiction, rights and rules on consumer protection, privacy, electronic communications and digital rights that cannot be waived by contract in the applicable jurisdiction.

General Provisions

Severability: if any clause is deemed invalid or unenforceable, the greatest possible preservation of the remaining provisions will apply.
No Waiver: failure to exercise or tolerance regarding compliance with any right will not constitute waiver or novation.
Entire Agreement: these Terms and the Privacy Policy constitute the entire understanding between TiMo Mídia and users.
Languages and Interpretation: in case of translations and technical interpretation conflicts, the version corresponding to the site’s or applicable operation’s primary language prevails, unless mandatory local law requires otherwise.

Applicable Local Addendum

This section supplements the Terms when South African law applies.

Local Law – South Africa

When applicable, these Terms will be interpreted together with mandatory South African rules on consumer protection, electronic communications, digital advertising, privacy and personal information protection.

Nothing in these Terms limits rights that cannot be waived by contract under applicable South African law.
